These Terms of Use and Membership Terms (“Terms”) govern your access to and use of The American Quorum website, newsletters, memberships, subscriptions, articles, audio articles, comments, contributor and member-participation opportunities, and any other websites, services, features, products, or digital offerings that link to these Terms (collectively, the “Services”).

The Services are operated by 1693 Scholars, LLC, doing business as The American Quorum (“The American Quorum,” “TAQ,” “Company,” “we,” “us,” or “our”).

By accessing or using the Services, creating an account, subscribing to a newsletter, purchasing or renewing a membership, checking a box indicating agreement, submitting material, commenting, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to these Terms.

Our Privacy Policy describes our privacy practices and is incorporated by reference where applicable.

If you purchase or hold a membership tier that includes article-submission or contributor privileges, including The Founding Contributor, the The American Quorum Contributor Agreement also applies to you and is incorporated into these Terms by reference.

If you do not agree to these Terms, do not use the Services.

IMPORTANT ARBITRATION AND CLASS-ACTION NOTICE

THESE TERMS CONTAIN A BINDING INDIVIDUAL ARBITRATION AGREEMENT AND CLASS-ACTION AND JURY-TRIAL WAIVERS. EXCEPT FOR CERTAIN CLAIMS DESCRIBED BELOW, YOU AND THE AMERICAN QUORUM AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT.

You may opt out of the arbitration provision as described below.

1. The TAQ Parties

For purposes of the protections, disclaimers, releases, limitations, indemnities, and dispute-resolution provisions contained in these Terms, the “TAQ Parties” means:

·       1693 Scholars, LLC;

·       The American Quorum;

·       present and future parents, subsidiaries, affiliates, and related entities;

·       founders and owners;

·       members and managers;

·       directors and officers;

·       employees and staff;

·       editors and editorial personnel;

·       authors, reporters, writers, and columnists;

·       contributors and guest contributors;

·       researchers and fact-checkers;

·       photographers, designers, and producers;

·       independent contractors and consultants;

·       agents and representatives;

·       licensors and licensees;

·       technology, hosting, payment, distribution, and service providers acting on TAQ’s behalf; and

·       successors and assigns.

Each TAQ Party is an intended third-party beneficiary of provisions intended for that party’s protection and may enforce those provisions directly.

To the maximum extent permitted by law, no individual founder, owner, member, manager, officer, employee, editor, writer, contributor, or other individual TAQ Party personally assumes the contractual liabilities or obligations of 1693 Scholars, LLC merely by participating in or contributing to the Services.

2. Nature of The American Quorum

The American Quorum is an independent digital news and media publication.

TAQ may provide journalism, reporting, analysis, commentary, opinion, interviews, reviews, newsletters, explanatory journalism, audio versions of articles, and other editorial and informational content.

Subjects may include, among other things:

·       U.S. news;

·       world news;

·       politics;

·       government;

·       public policy;

·       business;

·       finance;

·       healthcare;

·       medicine;

·       technology;

·       science;

·       travel;

·       entertainment;

·       books;

·       culture; and

·       other matters of public interest.

Content may include factual reporting, analysis, commentary, opinion, statements from third parties, quotations, estimates, projections, developing information, and historical material.

3. Editorial Content Is Informational

All TAQ content is provided for general informational, journalistic, educational, and editorial purposes.

Nothing published or distributed by TAQ constitutes individualized:

·       legal advice;

·       medical advice;

·       diagnosis or treatment advice;

·       financial or investment advice;

·       tax or accounting advice;

·       insurance advice;

·       travel-safety advice;

·       professional consulting advice; or

·       any other professional recommendation.

You should consult an appropriately qualified professional before acting on information concerning your individual legal, medical, financial, tax, investment, safety, or other circumstances.

No article, membership, communication, comment, interview, or interaction with TAQ creates an attorney-client, physician-patient, financial-adviser, fiduciary, consulting, or similar professional relationship.

4. Journalism, Accuracy, and Developing Information

TAQ endeavors to publish responsible journalism and accurate information. Journalism, however, frequently concerns developing, disputed, incomplete, changing, or subsequently clarified events.

To the maximum extent permitted by law, TAQ does not warrant that all Content will at all times be:

·       complete;

·       current;

·       error-free;

·       exhaustive;

·       suitable for a particular purpose; or

·       unaffected by subsequent developments.

Facts and circumstances can change after publication.

TAQ reserves the right, but does not undertake a general obligation, to:

·       correct;

·       clarify;

·       update;

·       supplement;

·       annotate;

·       revise;

·       edit;

·       restrict;

·       archive;

·       remove;

·       unpublish; or

·       retract

Content at any time.

Headlines, summaries, excerpts, social-media descriptions, newsletters, and audio renditions may condense or adapt longer material.

5. Opinions and Outside Contributors

Views expressed by individual authors, contributors, guests, interviewees, commentators, or sources are their own unless TAQ expressly states that a position represents the institutional position of The American Quorum.

Publication does not necessarily constitute TAQ’s endorsement of a person’s:

·       opinions;

·       employer;

·       affiliations;

·       organization;

·       political views;

·       products;

·       services; or

·       activities.

6. Eligibility

You must be at least 13 years old to use the Services.

A person under the legal age of majority in the applicable jurisdiction must have appropriate parental or guardian authorization where required.

You must be legally capable of entering into a binding agreement to purchase a paid membership in your own name.

7. Member Accounts

You agree to provide accurate and current information when creating or maintaining a TAQ membership.

You are responsible for maintaining control of:

·       your email account;

·       authentication links;

·       one-time login codes;

·       devices; and

·       other methods used to access your membership.

Memberships are personal unless TAQ expressly provides otherwise.

You may not sell, transfer, share, or commercially redistribute member credentials or paid access.

8. Membership Tiers

TAQ may offer free and paid membership levels with differing prices, access rights, privileges, and benefits.

Membership tiers may include, among others:

·       The Reader;

·       The Charter Member;

·       The Founding Supporter;

·       The Founding Contributor; and

·       future membership categories established by TAQ.

Features may differ by tier and may include:

·       premium journalism;

·       archives;

·       newsletters;

·       audio articles;

·       member comments;

·       special editions;

·       member events;

·       Member Perspective Opportunities;

·       contributor privileges; and

·       other benefits.

Membership purchases a right of access to specified membership benefits. It does not convey ownership, voting rights, corporate governance rights, editorial control, or ownership of TAQ intellectual property.

9. Paid Subscriptions and Automatic Renewal

Unless expressly identified as non-renewing, paid monthly and annual memberships automatically renew at the end of the applicable billing period until canceled.

The applicable price, billing interval, and material subscription terms will be presented at or before purchase.

By completing a recurring membership purchase, you authorize TAQ and its payment processor to charge your selected payment method for:

·       the applicable subscription charge;

·       applicable taxes; and

·       other charges you expressly authorize.

Renewals will occur at the then-applicable rate communicated to you, subject to any Charter, grandfathered, promotional, or other pricing commitment expressly made by TAQ.

10. Cancellation

You may cancel automatic renewal through the account-management or subscription-management functionality made available through the Services or through another method TAQ is required by applicable law to provide.

Cancellation prevents future renewal charges.

Unless otherwise stated or required by law, cancellation does not terminate access already purchased for the remainder of the current paid billing period.

Unsubscribing from a newsletter does not cancel a paid membership.

11. Refunds

Except where required by law or expressly stated in a specific written offer, subscription and membership charges are non-refundable.

TAQ generally does not issue refunds or credits for:

·       partially used subscription periods;

·       unused access;

·       failure to use membership benefits;

·       failure to cancel before renewal;

·       dissatisfaction with an article or editorial position;

·       rejection of an article submission;

·       a failure to receive a Member Perspective invitation;

·       nonpublication of a member quotation;

·       modification of individual features; or

·       suspension or termination resulting from violation of these Terms.

Nothing in this provision eliminates rights that cannot legally be waived.

12. Pricing Changes

TAQ may change membership prices prospectively.

A pricing change will not retroactively change a billing period already paid.

Where TAQ expressly offers a Charter, grandfathered, lifetime-rate, or similar pricing commitment, that specific offer controls.

Unless TAQ expressly provides otherwise, cancellation, expiration, or payment failure may result in loss of a grandfathered rate.

MEMBER PERSPECTIVE AND EDITORIAL PARTICIPATION

13. Member Perspective Opportunities

Certain membership tiers, including The Founding Supporter, may include occasional opportunities for members to provide:

·       comments;

·       quotations;

·       professional expertise;

·       personal perspectives;

·       reactions;

·       experiences; or

·       other information

for possible use in The American Quorum’s editorial coverage (“Member Perspectives”).

These opportunities are offered solely at TAQ’s discretion and may vary in frequency, subject matter, format, and availability.

Membership does not guarantee that a member will:

·       be contacted;

·       be interviewed;

·       be quoted;

·       be identified;

·       be featured; or

·       be published.

Participation is entirely voluntary.

14. Permission to Use Member Perspectives

When a member knowingly provides a statement, quotation, written response, photograph, biographical information, professional title, or other material in response to a TAQ request for possible editorial use, the member authorizes TAQ to:

·       review;

·       verify;

·       fact-check;

·       excerpt;

·       quote;

·       reproduce;

·       publish;

·       distribute;

·       display;

·       archive;

·       promote editorially; and

·       otherwise use

that material in connection with TAQ’s journalism.

TAQ may edit a Member Perspective for grammar, spelling, length, clarity, formatting, or style provided TAQ does not knowingly alter the material meaning of a quotation.

Unless otherwise agreed, TAQ may identify the participating member by name and may include reasonably relevant:

·       professional title;

·       organization;

·       location;

·       biography;

·       affiliation; or

·       other identifying context

supplied by or verified with the member.

15. Editorial Control of Member Perspectives

TAQ retains sole editorial discretion regarding whether, when, where, and how any Member Perspective is used.

Participation in a Member Perspective opportunity:

·       does not guarantee publication;

·       does not create a right to review an article before publication;

·       does not create a right to approve headlines, editing, placement, context, or presentation;

·       does not entitle the member to compensation, royalties, reimbursement, or a membership refund;

·       does not create employment, agency, partnership, authorship, staff, or contributor status;

·       does not provide editorial influence or preferential coverage;

·       does not constitute TAQ endorsement of the member or the member’s organization, views, products, services, or political positions; and

·       does not create confidentiality or source-protection obligations unless TAQ expressly agrees to such treatment.

Members remain responsible for the accuracy of factual representations they knowingly provide concerning themselves, their experiences, credentials, organizations, and other matters within their knowledge.

TAQ may request verification, supporting material, or disclosure of relevant affiliations or conflicts of interest.

If TAQ wishes to audio- or video-record an interview or conversation, TAQ may obtain additional consent appropriate to the circumstances and applicable law.

16. Member Perspectives Are Distinct From Contributor Privileges

A Member Perspective opportunity does not confer the submission privileges associated with The Founding Contributor or another contributor relationship.

A person seeking to submit authored:

·       articles;

·       essays;

·       analysis;

·       commentary;

·       photographs;

·       graphics; or

·       other substantive works

must comply with TAQ’s editorial requirements and, where applicable, the The American Quorum Contributor Agreement.

CONTRIBUTOR MEMBERSHIP

17. Founding Contributor and Other Contributor Memberships

Certain membership tiers may provide the opportunity to propose story ideas or submit substantive editorial material for consideration.

Purchasing a contributor membership does not purchase publication.

Contributor membership provides the opportunity to submit qualifying material for editorial consideration along with any other benefits expressly associated with the applicable tier.

Membership does not guarantee:

·       acceptance;

·       publication;

·       assignments;

·       a byline;

·       a particular publication date;

·       a minimum number of published pieces;

·       compensation;

·       prominence;

·       placement;

·       favorable treatment;

·       favorable coverage;

·       editorial influence; or

·       continued contributor status.

TAQ retains sole editorial discretion.

18. Contributor Agreement

By purchasing, renewing, or using privileges associated with The Founding Contributor or another tier expressly requiring contributor terms, you agree to the then-applicable The American Quorum Contributor Agreement.

The Contributor Agreement governs matters including:

·       submitted story ideas;

·       editorial submissions;

·       copyright ownership;

·       intellectual-property assignment;

·       work-made-for-hire treatment where legally applicable;

·       originality;

·       source integrity;

·       accuracy;

·       artificial-intelligence usage;

·       conflicts of interest;

·       editorial control;

·       representations and warranties;

·       indemnification; and

·       related matters.

If the Contributor Agreement conflicts with these general Terms concerning a contributor submission, the Contributor Agreement controls as to that submission.

19. Editorial Independence

No subscriber, supporter, contributor, advertiser, sponsor, donor, source, or other person acquires a right to influence TAQ’s editorial judgment by providing money, membership fees, information, or support.

No membership tier may be used to purchase:

·       favorable coverage;

·       suppression of unfavorable coverage;

·       endorsement;

·       editorial access;

·       placement;

·       political advocacy; or

·       commercial promotion

unless expressly identified as advertising or sponsored material in accordance with TAQ policy.

USER CONTENT AND INTELLECTUAL PROPERTY

20. User Comments and Community Content

Where TAQ permits comments or other user-generated material, you remain solely responsible for what you submit.

You may not knowingly submit material that:

·       violates law;

·       infringes intellectual-property rights;

·       unlawfully invades privacy;

·       is unlawfully defamatory;

·       contains unlawful threats;

·       constitutes targeted unlawful harassment;

·       impersonates another person;

·       contains malware or malicious code;

·       constitutes spam;

·       improperly discloses another person’s sensitive information; or

·       otherwise violates TAQ’s community standards.

TAQ may moderate, restrict, edit, hide, or remove User Content and may suspend access, but TAQ does not assume an obligation to continuously monitor all User Content.

21. License to User Content

By posting User Content to a public or member-community area of the Services, you grant TAQ a worldwide, nonexclusive, royalty-free, transferable, and sublicensable license to host, reproduce, display, distribute, format, moderate, archive, and use the material as reasonably necessary to provide, operate, protect, and promote the Services.

Contributor submissions are governed separately by the Contributor Agreement.

22. TAQ Intellectual Property

Unless otherwise stated, TAQ-created or TAQ-owned materials, including:

·       articles;

·       editorial text;

·       headlines;

·       designs;

·       logos;

·       graphics;

·       photographs;

·       audio;

·       video;

·       databases;

·       compilations;

·       newsletters;

·       page layouts;

·       trademarks;

·       software; and

·       other original or licensed material

are owned by or licensed to 1693 Scholars, LLC and are protected by applicable law.

A membership provides a limited, revocable, personal, nonexclusive, nontransferable right to access applicable Content for lawful personal use.

No ownership interest is transferred to the member.

23. Prohibited Copying, Scraping, and Automated Exploitation

Except where expressly permitted by TAQ or applicable law, you may not:

·       systematically copy TAQ Content;

·       reproduce substantial portions of TAQ Content;

·       republish paid Content;

·       redistribute premium Content;

·       systematically download or archive Content;

·       scrape, crawl, harvest, or extract TAQ Content or data;

·       circumvent a paywall or access control;

·       share paid-member credentials;

·       create a competing database from TAQ Content;

·       commercially text-mine or data-mine TAQ Content;

·       use TAQ Content to train, fine-tune, benchmark, evaluate, or improve an artificial-intelligence or machine-learning model;

·       create synthetic datasets substantially derived from TAQ Content; or

·       assist another person in doing any of these things.

TAQ may separately authorize particular automated uses through written permission or machine-readable instructions.

24. Audio Articles

TAQ may provide audio versions of written journalism.

Audio may be produced through:

·       human narration;

·       text-to-speech technology;

·       artificial intelligence;

·       automated production; or

·       a combination of methods.

Audio is provided for convenience and accessibility.

If a material discrepancy exists between an audio rendition and the underlying written article, the written published article controls unless TAQ expressly states otherwise.

25. Artificial Intelligence and Automated Technology

TAQ may use artificial intelligence or automated technology in editorial and operational workflows, including:

·       transcription;

·       translation;

·       audio narration;

·       search;

·       tagging;

·       organization;

·       research assistance;

·       accessibility;

·       recommendation;

·       production assistance;

·       security; and

·       analytics.

Automated output may contain errors.

TAQ does not warrant the accuracy of automated output.

TAQ may link to or reference third-party websites, sources, products, services, studies, platforms, advertisements, or resources.

TAQ does not control those third parties and is not responsible for their:

·       availability;

·       accuracy;

·       security;

·       privacy practices;

·       representations;

·       products;

·       services;

·       billing; or

·       conduct.

A hyperlink, quotation, citation, embed, or reference does not itself constitute endorsement.

27. Advertising, Sponsorship, and Affiliate Relationships

TAQ may display advertising, sponsorships, affiliate links, or other commercial material.

Where legally or editorially appropriate, such relationships may be disclosed.

TAQ does not warrant third-party products or services.

Your dealings with third parties are between you and those third parties.

28. Service Availability

TAQ does not guarantee uninterrupted or error-free availability.

The Services may be changed, restricted, interrupted, or unavailable because of:

·       maintenance;

·       technical failure;

·       vendor failure;

·       internet conditions;

·       cyber incidents;

·       legal requirements;

·       emergencies; or

·       circumstances outside TAQ’s control.

29. Security

No online service can be guaranteed completely secure.

You are responsible for protecting your devices, email account, authentication credentials, and other access methods.

30. Suspension and Termination

TAQ may suspend, restrict, or terminate access when TAQ reasonably determines that a person has:

·       violated these Terms;

·       failed to pay applicable charges;

·       engaged in fraud;

·       shared subscription access improperly;

·       circumvented access controls;

·       infringed intellectual-property rights;

·       abused contributor privileges;

·       threatened security;

·       engaged in unlawful conduct; or

·       created material legal or operational risk.

Provisions intended by their nature to survive termination remain in effect.

COPYRIGHT COMPLAINTS

TAQ respects intellectual-property rights.

Where applicable, TAQ may remove or disable access to material upon receiving a legally sufficient copyright complaint and may terminate repeat infringers in appropriate circumstances.

Copyright notices should contain sufficient information to identify:

·       the copyrighted work;

·       the allegedly infringing material;

·       the complaining party;

·       appropriate contact information; and

·       the basis for the complaint.

TAQ may publish separate DMCA-agent contact information.

DISCLAIMERS AND LIABILITY

32. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.”

THE TAQ PARTIES DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, AND SECURITY.

THE TAQ PARTIES DO NOT WARRANT THAT:

·       THE SERVICES WILL ALWAYS BE AVAILABLE;

·       CONTENT WILL ALWAYS BE ACCURATE OR COMPLETE;

·       ALL ERRORS WILL BE CORRECTED;

·       ANY PARTICULAR ARTICLE OR FEATURE WILL REMAIN AVAILABLE;

·       A CONTRIBUTOR SUBMISSION WILL BE PUBLISHED;

·       A MEMBER WILL RECEIVE A MEMBER PERSPECTIVE OPPORTUNITY; OR

·       USE OF THE SERVICES WILL PRODUCE A PARTICULAR RESULT.

Where applicable law does not permit a particular disclaimer, the disclaimer applies to the maximum extent legally permitted.

33. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TAQ PARTIES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS; LOST REVENUE; LOST BUSINESS; LOSS OF GOODWILL; LOSS OF DATA; BUSINESS INTERRUPTION; OR LOSSES ARISING FROM DECISIONS MADE IN RELIANCE UPON CONTENT.

This applies to claims arising out of or relating to:

·       the Services;

·       Content;

·       subscriptions;

·       memberships;

·       billing;

·       User Content;

·       Member Perspectives;

·       contributor submissions;

·       third-party services; or

·       these Terms.

This limitation applies regardless of:

·       the legal theory asserted;

·       whether damages were foreseeable;

·       whether TAQ was advised that damages were possible; or

·       whether a remedy fails of its essential purpose.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ALL TAQ PARTIES FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICES, THESE TERMS, OR YOUR RELATIONSHIP WITH TAQ WILL NOT EXCEED THE GREATER OF:

(A) THE AMOUNT YOU ACTUALLY PAID TAQ DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR

(B) ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms excludes liability that applicable law expressly prohibits TAQ from excluding.

34. Release

To the maximum extent permitted by law, you release the TAQ Parties from claims arising solely from:

·       your voluntary misuse of the Services;

·       reliance upon Content contrary to these Terms;

·       disputes between you and another user;

·       third-party User Content; or

·       third-party websites, products, or services.

This release does not waive rights that cannot legally be waived.

35. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless the TAQ Parties from third-party claims, demands, proceedings, liabilities, judgments, damages, settlements, losses, penalties, expenses, and reasonable attorneys’ fees arising from or relating to:

1.     your material breach of these Terms;

2.     your unlawful use of the Services;

3.     User Content you submit;

4.     material you submit to TAQ;

5.     allegations that material supplied by you infringes third-party rights;

6.     fraud or material misrepresentation by you;

7.     violation of applicable law by you; or

8.     unauthorized representations purportedly made on behalf of TAQ.

TAQ may assume control of the defense of a covered claim.

You agree to reasonably cooperate.

You may not settle a covered claim in a manner imposing an admission, obligation, or liability on a TAQ Party without TAQ’s prior written consent.

DISPUTE RESOLUTION

36. Informal Resolution

Before commencing arbitration or litigation, the complaining party must provide written notice describing:

·       the person’s name and contact information;

·       the factual basis of the dispute;

·       the relief sought; and

·       the amount of any monetary demand.

The parties will have 45 days after receipt of a complete notice to attempt informal resolution unless applicable law requires otherwise.

37. Agreement to Individual Arbitration

Except for the exclusions stated below, any dispute arising from or relating to:

·       the Services;

·       these Terms;

·       memberships;

·       subscriptions;

·       billing;

·       Content;

·       Member Perspectives;

·       User Content;

·       contributor submissions; or

·       your relationship with TAQ

will be resolved through final and binding individual arbitration.

The Federal Arbitration Act governs the arbitration agreement.

Arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable consumer rules then in effect.

The arbitrator may award individual relief available under applicable law that cannot validly be waived.

38. Arbitration Exceptions

Either party may:

·       pursue an eligible individual claim in small-claims court;

·       seek temporary or preliminary relief necessary to protect intellectual property, confidential information, or system security;

·       report conduct to governmental authorities; or

·       pursue a remedy that applicable law expressly provides cannot be subjected to arbitration.

39. Jury-Trial and Class-Action Waivers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND TAQ EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

YOU AND TAQ AGREE THAT CLAIMS WILL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

40. Arbitration Opt-Out

You may opt out of Sections 37 through 39 by sending written notice to legal@theamericanquorum.com within 30 days after you first become subject to this arbitration agreement.

The notice must include:

·       your full name;

·       the email address associated with your TAQ account;

·       a statement that you are opting out of arbitration; and

·       the date.

Opting out of arbitration does not opt you out of the remaining Terms.

41. Time Limit for Claims

To the maximum extent permitted by applicable law, a claim arising out of the Services or these Terms must be commenced within one year after the claimant knew or reasonably should have known of the facts giving rise to the claim.

If applicable law does not permit that period to be shortened, the shortest legally permissible period will apply.

42. Governing Law

Except to the extent preempted by federal law or overridden by mandatory consumer law, these Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.

Mandatory legal protections that cannot be waived remain applicable.

43. Venue for Non-Arbitrable Claims

For disputes not subject to arbitration and legally subject to contractual forum selection, the parties consent to the appropriate state or federal courts located in Wyoming.

Where applicable law requires another venue, that law controls.

44. No Personal Recourse for Company Contractual Obligations

To the maximum extent permitted by law, contractual claims concerning Company obligations must be asserted against 1693 Scholars, LLC and not against individual founders, owners, members, managers, employees, editors, authors, or contributors solely because of their relationship with TAQ.

Nothing in this section eliminates individual liability independently and non-waivably imposed by law.

GENERAL PROVISIONS

45. Force Majeure

TAQ is not responsible for delay or failure caused by circumstances beyond its reasonable control, including:

·       natural disasters;

·       war;

·       civil disturbance;

·       government action;

·       labor disruption;

·       telecommunications failure;

·       internet failure;

·       utility outage;

·       cyberattack;

·       hosting failure;

·       payment-network failure; or

·       failure of third-party technology providers.

46. Changes to These Terms

TAQ may revise these Terms from time to time.

The “Last Updated” date identifies the current version.

Where law requires additional notice or consent for a material change, TAQ will provide it.

A revised version applies prospectively to the extent required by law.

47. Assignment

You may not assign your rights under these Terms without TAQ’s written consent.

TAQ may assign or transfer its rights or obligations in connection with:

·       a merger;

·       acquisition;

·       restructuring;

·       affiliate reorganization;

·       asset sale;

·       financing; or

·       other lawful business transaction.

48. Severability

If a provision is found unlawful or unenforceable, it will be enforced to the maximum extent legally permitted and the remaining provisions will continue in effect.

49. No Waiver

Failure to enforce a provision does not constitute a waiver of that provision or any other right.

50. Entire Agreement

These Terms, the Privacy Policy, the Contributor Agreement where applicable, terms presented at checkout, and any other agreement expressly entered into between you and TAQ constitute the applicable agreement concerning the Services.

A specific written agreement controls over these Terms to the extent of an actual conflict concerning the subject matter of that agreement.

51. Electronic Agreement

You agree that these Terms and related agreements may be entered into electronically.

Checking a box, completing a membership purchase after being presented with applicable terms, or taking another affirmative electronic action designated as acceptance may constitute your electronic acceptance to the maximum extent permitted by law.
